1. Introduction

These Terms & Conditions ("Terms") govern your use of the Mitra Planner platform ("Service"), operated by Yudaina, a company registered in Belgium with VAT number BE 0728.505.731 ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

Mitra Planner is a software-as-a-service (SaaS) platform for professional wedding planners and their clients. The Service enables planners to manage weddings, vendors, budgets, timelines, guests, seating, decor, and communication with couples and external collaborators.

3. Accounts & Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are used for fraudulent or illegal purposes.

4. Pricing & Payment

The Service is currently offered free of charge during the beta period. We reserve the right to introduce paid subscription plans in the future, in which case we will provide at least 30 days' notice before any charges apply to your account.

Certain features may incur usage-based charges. These charges will be clearly communicated in the relevant settings pages before you enable them.

All prices are exclusive of applicable taxes (including VAT), which will be added where required by law.

5. Refund & Cancellation Policy

During the beta period, no charges are applied and therefore no refunds are necessary. When paid plans are introduced:

  • You may cancel your subscription at any time through your account settings.
  • Cancellation takes effect at the end of the current billing period. You will retain access until then.
  • No refunds are provided for partial billing periods.
  • Usage-based charges are non-refundable once the service has been delivered.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Upload or distribute malicious software, spam, or unsolicited communications.
  • Impersonate another person or entity.
  • Interfere with or disrupt the Service or its infrastructure.
  • Access data belonging to other users without authorization.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is the intellectual property of Yudaina. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

You retain ownership of all content you upload to the Service (images, text, guest data, etc.). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. We process data in accordance with the General Data Protection Regulation (GDPR) and applicable Belgian data protection law.

9. Availability & Warranties

We strive to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Yudaina shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €100, whichever is greater.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of Belgium. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium.
